第一條合同標(biāo)的和價(jià)格
________外貿(mào)公司在____國(guó)界車(chē)上交貨條件下按本合同附件1向________公司提供商品。商品以美元計(jì)價(jià)，系____國(guó)界車(chē)上交貨價(jià)，包括包皮、包裝和標(biāo)記的費(fèi)用。
根據(jù)附件1由________國(guó)向____國(guó)供貨的總值為_(kāi)_______美元。

第二條供貨期

第三條結(jié)算
本合同所供貨物之價(jià)款，在易貨基礎(chǔ)上以美元計(jì)價(jià)，不通過(guò)銀行記帳。貨物交接后，由售方商務(wù)代表到購(gòu)方結(jié)算，或?qū)⒔Y(jié)算憑證寄給購(gòu)方進(jìn)行結(jié)算，并憑下列單據(jù)辦理：

第四條包裝
賣(mài)方應(yīng)在包裝貨物時(shí)采取所有預(yù)防措施以保證貨物在儲(chǔ)存、海運(yùn)、陸運(yùn)、吊裝時(shí)完好無(wú)損。
第五條商品的品質(zhì)和保證
所供商品的品質(zhì)應(yīng)由品質(zhì)證明書(shū)加以確認(rèn)，該證書(shū)確認(rèn)商品品質(zhì)符合生產(chǎn)國(guó)的技術(shù)條件和國(guó)家標(biāo)準(zhǔn)。
所供商品的品質(zhì)性能應(yīng)與標(biāo)準(zhǔn)樣品相一致，標(biāo)準(zhǔn)樣品在簽定合同時(shí)交給買(mǎi)方，在保證期內(nèi)留存買(mǎi)方并在對(duì)供貨品質(zhì)發(fā)生爭(zhēng)議的情況下供雙方使用。
保證期為供貨后9個(gè)月。
第六條索賠
購(gòu)方可按________________（兩國(guó)貿(mào)易文件或協(xié)定）所規(guī)定的期限和程序在下列方面提出索賠。
1.貨物的數(shù)量
如貨物數(shù)量與明細(xì)單注明的數(shù)量不符，在包裝完整和沒(méi)有外部損傷（內(nèi)????????短缺）的情況下，購(gòu)方有權(quán)憑檢驗(yàn)證書(shū)提出索賠。
如果貨物的發(fā)運(yùn)系按發(fā)貨人確定的重量發(fā)出，而國(guó)境交接站雙方鐵路交接中發(fā)現(xiàn)不足，并不屬鐵路方面的過(guò)失，可根據(jù)雙方鐵路方面編制的商務(wù)記錄提出索賠。
2.貨物的質(zhì)量
如貨物品質(zhì)與合同規(guī)定不符時(shí)，可根據(jù)商品檢證或無(wú)利害關(guān)系的權(quán)威機(jī)關(guān)的代表參與制成的記錄提出異議。
如售方所供貨物的品質(zhì)，不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí)，購(gòu)方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定，或不同意檢驗(yàn)證書(shū)中確定的削價(jià)百分比時(shí)，則購(gòu)方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將退貨地址通知購(gòu)方。
如果在每批貨物中發(fā)現(xiàn)殘次品占20％以上，收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費(fèi)用由售方承擔(dān)。
在這種情況下，售方?jīng)]有免除向購(gòu)方補(bǔ)發(fā)數(shù)量相同并符合合同規(guī)定的貨物責(zé)任。
在終點(diǎn)站檢驗(yàn)貨物的數(shù)量和/或質(zhì)量所需要的一切費(fèi)用由購(gòu)方承擔(dān)。
第七條不可抗力條款
由于發(fā)生不可抗力情況，而直接影響本合同的履行時(shí)，售方對(duì)本合同受不可抗力影響的部分義務(wù)或全部義務(wù)無(wú)法履行的責(zé)任不予承擔(dān)。經(jīng)雙方協(xié)商，履行本合同義務(wù)的期限也可相應(yīng)推遲。發(fā)生不可抗力情況一方應(yīng)自災(zāi)情結(jié)束之日起10日內(nèi)將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書(shū)面通知對(duì)方。如對(duì)方有異議，發(fā)生不可抗力情況一方憑其所在國(guó)有權(quán)機(jī)關(guān)的認(rèn)證書(shū)豁免責(zé)任。
第八條仲裁

12.檢驗(yàn)與索賠：
inspection and claims:
①賣(mài)方在發(fā)貨前由 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書(shū)。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
14.爭(zhēng)議之解決方式：

16.商品檢驗(yàn)：賣(mài)方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書(shū)，貨到目的港后，由買(mǎi)方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。
goods inspection : the sellers shall have the goods inspected by inspection authority days before the shipment and issued the inspection certificate . the buyers shall have the goods reinspected by inspection authority after the goods arrival at the destination.
17.索賠
claims:
如經(jīng)中國(guó)_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。
the buyers shall lodge claims against the sellers based on the inspection certificate issued by china inspection authority days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and letter of quality guarantee . in case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
late delivery and penalty
除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿(mǎn)7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。
if the sellers fail to make delivery on time as stipulated in the contract , with exception of force majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty , however , shall not exceed 5% of the total value of the goods . the rate of penalty is charged at 0.5%for every seven days , if less that seven days. in case , the payment is not made through l/c , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況及
時(shí)通知買(mǎi)方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.爭(zhēng)議之解決方式：
disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。
all disputes arising out of the contract or in connection with the contract , shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china . the arbitral award is final and binding upon both parties.

21.法律適用
law application :
本合同之簽訂地、或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售公約》。
it will be governed by the law of the people’s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people’s republic of china or the deffendant is chinese legal person , otherwise it is governed by united nations convention on contract for the international sale of goods .
22.本合同使用的fob、cfr、cif、ddu 術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《incoterms 1990》
23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。
versions : this contract is made out in both chinese and english of which version is equally effective .conflicts between these two language arising therefrom . if any , shall be subject to chinese version .
24.附加條款(本合同上述條款與本附加條款有抵觸時(shí)，以本附加條款為準(zhǔn))：
